Senior Consultant

Jon is Senior Consultant in the Corporate & Commercial Practice.

His expertise includes advising clients on M&A, corporate finance and also advises on a wide range of commercial matters including asset sale and purchase agreements and contracts for the supply of goods and services.

Prior to joining Clarkslegal Jon worked at senior level both in private practice and in-house in the energy and media industries.

Jon has advised on a number of capital projects in the energy industry, with associated engineering, procurement and construction (EPC) contracts, including on industry standard forms (such as FIDIC).

Experience

Mergers, acquisitions and disposals

Advises on mergers, acquisitions and disposals in a wide range of sectors, from insurance services and financial to business services and industrial. Previous experience as in-house lawyer, managing and negotiating high-value acquisitions and disposals of industrial assets, and print and other media assets, has given Jon an understanding of clients needs when buying and selling assets.

Equity/debt finance and Investments

Advised extensively on the raising of finance through equity issues, including listed companies, dealing with primary listings, reverse takeovers/re-listings, and placings, and associated public company/LSE compliance matters.

In addition advised companies, management teams and venture capital providers on both MBOs and other investment, and associated joint venture arrangements or shareholder agreements.

Commercial Matters

Experienced advising on and drafting all forms of commercial contract, from distributorship and agency agreements to standard terms of business to sector-specific forms of contract such as agreements for the purchase of fuel, the sale of feedstock, utilities and industrial services and the licensing of copyrighted content.

Projects

Advised on a number of capital projects, including development of two large-scale combined-cycle gas turbine power stations, with matters ranging from EPC contracts and connection agreements to compliance with procurement rules and community and planning matters.
